Italian labour laws are generally more supportive of employees than employers, although there are of course exceptions to this. Whilst there are certain fundamental legal obligations and rights which apply to every type of job in Italy, there are also labour laws which are only applicable to particular sectors, jobs and companies. Employment contracts are required for most positions and are usually negotiated either on an individual basis, or with a trade union. For jobs which come with a great deal of responsibility, it is advisable for the prospective employee to have a solicitor such as Gabriele Giambrone look over the terms and conditions of the contract before signing it.

Even in instances where an employee is being hired temporarily, an employer in Italy is legally obligated to notify the provincial employment centre before the employee begins work. In addition to this, they are also required to let the employment centre know if they decide to make any changes to an employee’s contract. Law firms like Giambrone Law are frequently hired by employers to draw up contracts, so as to make sure that all potential problems are addressed, and that they are protected against being held liable. Every employer in Italy must also put aside seven percent of the gross salary earned by their employees for the TFR – this is a termination payment, which all employees are entitled to, regardless of whether they leave their position voluntarily or as a result of being dismissed.

A typical Italian employment contract will usually specify employee benefits, including things such as bonuses at the end of the year. The amount provided in these bonuses is discretionary; however most employers will offer a month’s salary. Whilst for the time, these bonuses are still quite commonplace it’s worth noting that many new organisations in Italy are offering company shares instead of bonuses.

Contracts will almost always include details regarding the termination of employment; in this regard, Italian employers are considered to be quite generous, as notice periods are relatively short, ranging from between five to fourteen days for most jobs, and between one and four months for those in managerial and executive positions, or those who have been working in a particular role for several years. If an employee fails to give the required amount of notice, then the employer may decide to sue them. Solicitors from Giambrone Law often deal with such cases.

In a story spanning six years, American Amanda Knox was accused of having an involvement in the murder of British student Meredith Kercher in Pergua, Italy along with two other men in 2007. After a lengthy trial Knox was sentenced to twenty six years in prison, only for the ruling to be overturned after four years following an appeal that successfully argued that the evidence against her was too circumstantial. Knox, and her former partner Raffaele Sollecito were therefore acquitted and released in 2011.

Two years on however the case against Knox and Sollecito has been opened once more. On March 26th the Court of Cassation, Italy’s highest court, ruled that the case should be re-opened to finally establish the truth. Although the court of Cassation does not have the remit to base their decision on the presumed guilt or innocence of the defendants, their ruling is however based on whether their earlier appeal had been properly conducted.

For Knox, who returned to her native America after her release in 2011, the news has been devastating. She has described hearing the news as “painful” and the court ruling as “unfounded and unfair.” Knox went on to say that she and her family will “face this continuing battle as we always have, confident in the truth and with our heads held high in the face of wrongful accusations and unreasonable adversity.”

Raffaele Sollecity, Knox’s former Italian partner and co-defendant, has been equally as unsettled by the news especially as, according to his lawyer, it came out on the 29 year olds birthday.

Although Sollecity is an Italian resident, there remains what could potentially become a major issue in the extradition of Amanda Knox. In the case of the Italian court finding it necessary to call or even charge Knox, they will have no legal power to compel her to return.

If Amanda Knox refuses to cooperate what could follow is a complex extradition process. Grazino Cecchetti, a lawyer with the law firm Giambrone Law, believed that “America will not allow extradition … or at least I would say it’s not going to be easy for Italy to obtain.” She continued to point out that even if Knox did end up being sentenced again, she can always re-appeal.

Probate is a legal term which refers to a situation in which a person applies for the right to handle the affairs of a deceased person. It is sometimes also known as ‘estate administration’. Here, we discuss what this term means in a little more detail.

If a person passes away, and has left a will, the executor of that will be expected to handle the deceased’s affairs. However, even as that person’s executor, they do not automatically have the right to deal with the estate left behind; they will need to apply for a grant of probate. This is because the financial institution or relevant authority which holds the assets of the deceased – such as the building society or bank – will not permit a transfer of asset control without first seeing a grant of probate. But, if the estate is quite small, there are some organisations which will transfer control upon viewing a death certificate, but this would be at their discretion, and is not a given.

Applying for probate is usually done via the probate registry office in the court. The grant itself comes in the form of a legal document, which provides the executor with written authorisation to handle the possessions, money and property which belonged to the deceased. This document can be shown by the executor when they need to prove to, for example, the bank, that they have the right to access that person’s funds and arrange their finances. If a person has been named as an executor on a will, but for some reason is unable to apply for probate, then they have the right to appoint another person to apply for it instead. The appointed person – referred to as an Attorney – will need to bring a letter from the executor with them to the probate registry, which explains why the executor cannot apply.

If no will has been left by the deceased, then under normal circumstances, a close relative – a sibling, parent or spouse, will apply for a grant of probate so that they can sort out the person’s estate. In such cases, they need to apply for a grant of letter of administration; if they are given the grant, then they are considered, from a legal perspective, to be the administrator of the estate from then onwards.

A critical if not dominant factor in deciding whether or not to invest in a business, is often the liability which it presents to its investors. Starting a new business from scratch and
acquiring an existing enterprise is a big investment and therefore also a risk. This has led
to many entrepreneurs and companies seeking involvement only with business models
which carry limited liability.

 

Unlike in England and the United States, the limited liability partnership model does not exist. Italian partnerships, which are called società in nome collettivo (S.n.c.), come with the unappealing prospect of being held unlimitedly liable as a partner or a shareholder.

Although the Italian S.A.P.A. is a partnership which allows some of its partners to have limited liability, there must always be a partner who has unlimited liability, meaning that it is not a business model which allows for complete limited liability.

However, a change to the law in 2003 created a way around the issue of liability. The change which is now enshrined in Art. 2361 of the Italian Civil Code, states that limited liability companies are allowed to acquire or enter into the corporate capital of the S.n.c.. This thereby effectively limits the liability for the investor whose aim is to acquire or enter into the corporate capital of a partnership, with the other partners keeping unlimited liability.

The number of foreign investors taking advantage of this has increased since the change in the law in 2003. One option which we often advise to our clients, is to set up an Italian Newco of limited liability, such as an S.r.l.; with a minimum share capital, and then acquire the existing S.n.c. which is of interest. This allows companies to acquire an S.n.c. which they view to be a good investment for their company, yet at the same time, retain greater protection in terms of liability.
